Company Secretary Services in Kuala Lumpur for Sdn Bhd Owners
Know what is due, what is included and who to contact when a corporate change cannot wait.
A company secretary should do more than hold an appointment. SSAM helps directors prepare resolutions, maintain statutory records, file required documents and understand what the Companies Act 2016 requires next.
A working review of the company file, upcoming deadlines and the next corporate change.
SSAM GROUP COMPANY REGISTRY SERVICES
Clear scope, responsive support and one team across company registration, secretarial and business compliance work.
The Risk Is Usually in the Work Nobody Is Tracking
A missed deadline is one problem. The deeper issue is not knowing whether the records, approvals and pending changes are complete. Cheap retainers also become expensive when routine work is excluded or the handover fee appears only when you leave.
The company file should show what happened, what is pending and who is responsible for the next filing.
The three company-secretarial gaps we see most often
- No clear compliance calendar.
- Urgent resolutions delayed by slow replies.
- Statutory records incomplete during a bank, audit or provider change.

Questions to settle before appointing a provider
- Which annual returns, registers and financial-statement coordination are included?
- Which resolutions, ownership changes and certified copies are charged separately?
- How are urgent work, government fees and registered-office services handled?
- What records, deadlines and pending matters are transferred when you leave?
How the Engagement Works
The first review makes the handover visible. The written scope keeps recurring work and event-based requests distinct.
STEP 01
Review the company
Confirm status, deadlines, open changes and current records.
STEP 02
Agree the scope
List recurring work, chargeable events, government fees and handover requirements.
STEP 03
Complete the appointment or handover
Prepare approvals, notifications and record transfer.
STEP 04
Track ongoing work
Maintain the calendar and handle requests through a clear point of contact.
Compare the Complete 12-Month Scope
Do not compare retainers alone. Ask what sits inside the recurring scope, what is event-based and which third-party costs are passed through.
- Annual returns and financial-statement lodgement coordination.
- Standard resolutions and beneficial-ownership updates.
- Statutory books, certified copies and registered-office work.
- Government fees, urgent work, termination and handover terms.
Request a written 12-month scope before appointment or provider change.
Request a written 12-month scope →Included Versus Chargeable Company Secretarial Scope
These questions belong in the written scope so recurring work and event-based requests do not get mixed together.
| Work area | Ask whether it is included | Ask what may be charged separately |
|---|---|---|
| Annual returns and financial statements | Is annual-return preparation and financial-statement lodgement coordination part of the recurring work? | Are late, amended or exceptional filings outside the agreed scope? |
| Resolutions and ownership work | Which standard resolutions and beneficial-ownership updates are covered? | Are director, shareholder or other event-based changes charged separately? |
| Records and registered office | What access to statutory books, certified copies and registered-office work is included? | Are certified copies, searches or address services additional? |
| Government fees and urgent work | Which government or third-party fees are outside the professional scope? | What process and charge apply when work is urgent? |
| Termination and handover | Which records, deadlines and pending matters are transferred when you leave? | Is a termination or handover fee charged, and when is it payable? |
Company Secretary Milestones to Track
These are legal or event triggers, not decorative numbers. The company file should show what happened, what is pending and who is responsible for the next filing.
| Trigger | Timing | Action |
|---|---|---|
| New company | First secretary appointed within 30 days of incorporation | Board appointment, written consent and required notification |
| Change of secretary | Notify the Registrar within 14 days of the relevant change | Coordinate cessation or appointment, required notice and records handover |
| Vacancy | The office must not be left vacant for more than 30 days at any one time | Arrange a qualified replacement promptly |
| Annual cycle | Annual return due for each calendar year no later than 30 days from the incorporation anniversary, except the incorporation calendar year | Prepare and lodge the annual return; coordinate financial-statement lodgement |
| Missed annual returns | The Registrar may strike off a company that fails to lodge annual returns for three or more consecutive years | Review the company status and remedy the position. Strike-off is not automatic. |
| Corporate change | When approved | Resolution, register update and required filing |
| Bank, investor or audit request | As needed | Certified records and current company information |
Timing references follow the Companies Act 2016, including sections 58, 68, 235, 236 and 240. Filing forms and current SSM processes should be confirmed for the company’s specific case.

Company Secretary Kuala Lumpur FAQs
Yes. Under section 235 of the Companies Act 2016, a company must have at least one secretary who is a natural person aged 18 or above, is a Malaysian citizen or permanent resident ordinarily residing in Malaysia, and meets the statutory qualification requirements. The first secretary must be appointed within 30 days of incorporation under section 236.
The role covers statutory filings, registers, resolutions, governance support and advice on Companies Act obligations.
It depends on what the retainer includes and how many event-based changes the company makes. Compare a complete annual scope, not one monthly figure.
Annual returns, resolutions, director or shareholder changes, certified copies, government fees, urgent work and handover may be separate depending on the provider.
Agree a realistic communication and work-request process before appointment. Do not rely on an unrecorded promise.
Yes. The appointment, resignation or removal and the required notification to the Registrar must be handled properly, with statutory records transferred.
Outstanding invoices and record custody can create disputes. Clarify payment, ownership and release conditions early and obtain professional advice for a contested handover.
Qualification, practising status, scope, fees, response process, named contact, record access and termination terms.
Company-secretarial work is separate. SSAM offers tax and accounting-software support through other group entities, but does not provide recurring bookkeeping.
The office of secretary must not be left vacant for more than 30 days at any one time. The company must notify the Registrar within 14 days of the relevant change involving a secretary. The Registrar may strike a company off if it fails to lodge annual returns for three or more consecutive years. Strike-off is not automatic. Arrange a qualified replacement promptly.
